Policies and Terms
1. Terms and Conditions
1.1. Welcome to Gituru, a service of Chordify B.V. (“Gituru”, or “we”, “our” or “us”), a limited liability corporation (B.V.) based in Groningen, Netherlands, registered in the trade register of the Dutch Chamber of Commerce with number 60387238. Our VAT number is NL853888310B01. The use of the Gituru website at the URL https://chordify.net/pages/gituru (the “Website”), the Gituru mobile applications (“Apps”), Gituru instances running on third party websites or apps (“Gituru Embed”), the Gituru API (“Gituru API”) and all proprietary services, software, data and materials accessed via the foregoing (jointly and individually also referred to as the “Gituru Service”) is subject to the following terms and conditions, which – together with our privacy policy – governs the relationship between the user of the Gituru Service (“you” or “your”) and Gituru. If you disagree with any part thereof, please do not use the Gituru Service.
1.2. These terms and conditions may be amended from time to time. We will inform you of such amendments by e-mail to the e-mail address indicated by you during your initial registration with the Gituru Service, and on our website https://chordify.net/pages/gituru. If you do not accept such amendments, you must notify us thereof per e-mail to gituru-team@chordify.net within four weeks after the date on which you have been informed of such amendments. Following such notification, we may, in our sole discretion, decide to terminate our agreement with you (and reimburse you proportionally should you have paid a fee for a term that is not yet finished at that moment) or to continue the agreement under the unamended version of the terms and conditions. If you do not notify us timely of your non-acceptance, you will be deemed to have accepted the amendments and to be unconditionally bound to the amended terms.
2. The Gituru Service and your use
2.1. The Gituru Service is described at [URL]. We may change the Gituru Service at any time, including by adding or removing any services or features part of the Gituru Service.
2.2. In order to be able to use the Gituru Service it is required that you have access to the internet and to the materials specified by us on [URL]. It is your own responsibility to ascertain that you do, and we cannot be held accountable if you do not.
2.3. The Gituru Service is for your own personal non-commercial use only. The Gituru Service is licensed to you, and not sold, assigned or transferred.
2.4. The Gituru Service is provided to you ‘as is’. Gituru, nor any third parties, Gituru’s licensors or affiliated parties give any warranty or guarantee that the Gituru Service will be provided accurately, timely, completely, without interruptions, errors or defects, that the Gituru Service is suitable for any particular purpose or that all errors and defects will always be fixed. We expressly exclude liability regarding your use of the Gituru Service to the fullest extent permitted by law.
2.5. You will not collect content or information, or otherwise access the Gituru Service, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our express written permission.
2.6. You are responsible for the data and other results you process, create and provide us through the use of the Gituru Service. You guarantee that such data and results are not illegal and will not infringe rights of third parties. You indemnify us against claims from third parties, of whatever nature, in relation to this data, results or your use of the Gituru Service.
2.7. We may impose limits or restrict your access to part or all of the Gituru Service without notice and without incurring any liability.
2.8. Your use or access to the Gituru Service is subject to your compliance with these terms and conditions. Without prejudice to any other rights and remedies we may have, any non-compliance entitles us to deny your further use of the Gituru Service without entitling you to any compensation or refund.
3. Subscriptions
3.1. Unless otherwise determined by us, the term of Gituru Service subscriptions (“Subscription”) begins on the first date that you pay for the Gituru Service.
3.2. New Subscriptions may be revoked with immediate effect within fourteen days after the first day of the Subscription.
3.3. After the revocation period referred to in the previous paragraph, Subscriptions can only be cancelled on the last day of the then current Subscription period. Subscriptions entered into for a period of twelve months which are subsequently tacitly renewed for the same period may be cancelled with due observance of a notice period of one month.
3.4. Subscriptions will be tacitly renewed for successive periods of the same duration after the end of respective period, unless you notify us by email gituru-team@chordify.net no later than the last day of the then current period that you do not wish to renew your Subscription.
3.5. If a Subscription is renewed, the renewal fee will be paid by direct debit.
3.6. Revocations and cancellations must be made by sending an e-mail to gituru-team@chordify.net
3.7. Without limiting our statutory rights of termination or Gituru’s other rights and remedies, we may, at our sole discretion, suspend performance of obligations, including the rights granted herein, or terminate or dissolve the Subscription and any other agreements without incurring any liability for compensation if: a) you fail to meet your obligations to Gituru, in whole or in part, in a timely manner; b) we become aware of circumstances which constitute a valid reason to expect you to fail to meet your total obligations vis-à-vis us in a timely manner; c) there are other circumstances which by their nature would preclude us from performing our obligations based on standards of reasonableness and fairness, or other circumstances which reasonably prevent us from being required to fulfil our obligations to you.
4. Fees and Payments
4.1. Parts of the Gituru Service may be free, some are not. Which part of the Gituru Service is paid (“Paid Gituru Service”) and the fees thereof, is indicated on the Website https://chordify.net/pages/gituru in the App or otherwise through the Gituru Service.
4.2. The prices we charge for the Gituru Service may change in the future. Price changes for Subscriptions shall apply as of the first day of the next renewal of the respective Subscription. If you have a Subscription of which the price will change upon renewal, we will notify you of such changes. If you do not wish to agree to the changes, you can notify us that you do not want the Subscription to be renewed as described under “Subscriptions”.
4.3. By choosing to use Paid Gituru Service, you authorize us to charge you for all fees and other amounts due via direct debit.
4.4. We may use a third-party payment processor to facilitate your payments.
4.5. Unless specifically mentioned otherwise in writing, the Fees and other amounts are inclusive of VAT and other government levies in Europe, unless indicated otherwise.
4.6. Introductory offers or discount promotional periods are limited. The discount period on the regular price for Gituru Service is always clearly stated on price reductions. After the initial discount period, the normal subscription price will apply.
5. Account and Password
5.1. You are responsible for any and all use of the Gituru Service, as well as for the integrity of the password and other identifying means in respect of your account details at Gituru. You shall keep your username and password and other identifying means secure and will not allow anyone else to use your username or password to access the Gituru Service.
5.2. Gituru is responsible nor liable for any loss that results from the unauthorized use, with or without your knowledge, of your username, password and/or other identifying means.
6. Rights
6.1. The Gituru Service contains material which is owned by us. This material includes, but is not limited to, the design, layout, look, sounds, appearance, graphics and software. All rights of use not expressly granted to you are reserved by us. We retain all our rights, titles and interest on all materials and information provided by or on behalf of us, including, but not limited to, all copyrights, trademarks, trade secrets, trade name rights, domain name rights, patent rights, titles, rights on computer codes, audiovisual effects, themes, settings, artwork, musical works, other proprietary rights and moral rights, all of the foregoing whether registered or not, and all applications thereof.
6.2. It is not allowed to make the Gituru Service or any contents thereof public or to reproduce it, including but not limited to disclosing, publishing, (re)distributing or (re)producing, whether in whole or a part thereof, in any form, unless explicitly allowed in these terms and conditions.
7. Privacy
Our use of personal data is governed by our privacy policy, which can be found at https://chordify.net/pages/gituru-privacy-policy
8. No endorsement
The Gituru Service may include links to other websites, apps, services or content. These links are provided for your convenience to provide further information. They do not signify that we endorse such websites, apps, services or content. We have no responsibility for – the content of – such websites, apps, services or content.
9. Complaints
If you have any complaints regarding the Gituru Service, you can submit them per e-mail to gituru-team@chordify.net. We will respond to your complaints within fourteen days upon receipt thereof, to the correspondence address indicated by you in your complaint.
10. Applicable law and competent court
Your use of the Gituru Service, these terms and conditions, the relationship between you and us and any dispute arising therefrom is subject to the laws of the Netherlands. Any dispute not settled between you and us will be brought before the Dutch competent court.
